Recruiter - Recruitment Agency Terms Of Business


These are the Terms of Business (the ‘Terms of Business’) which govern your use of our website www.vawch.com (the ‘Website’) and/or the job advertisement, candidate and referrer recruitment, and candidate referral services (the ‘Services’) found therein, all of which are offered by Vawch Group Pte. Ltd, a company registered in Singapore (Company Registration: 200811287H). You are the recipient of these terms and ‘you’, ‘your’ and ‘yours’ refer to the user of the Website and/or our Services.

We offer a service for Recruiters to advertise on the Website Positions they may have available and for which they have engaged the Company to find Candidates. Referrers can refer Candidates to any of the Positions advertised on the Website and earn a reward if their referred Candidate successfully gains employment with the Employer’s company

Please read the following Terms of Business carefully before using our Website and/or engaging our Services. By using the Website and/or engaging our Services, you agree to be bound to the following Terms of Business. If you do not agree to be bound by the following Terms of Business then you are not permitted to use The Website or engage our Services.

1. Definitions


    1.1. The ‘Company’ means Vawch Group Pte. Ltd.

    1.2. The ‘Website’ means www.vawch.com.

    1.3. The ‘Services’ means job advertisements, referrer and candidate recruitment, and candidate referral services offered by The Company through The Website.

    1.4. ‘Recruiter’ means any firm, corporation or agency that engages The Company to perform recruitment services, which include Recruitment Agencies and Employers.

    1.5. ‘Recruitment Agency’ means any agency that is hired by The Employer to perform recruitment services.

    1.6. ‘Employer’ means the firm or corporation that recruits and enters into an employment contract with the Candidate for the Position.

    1.7. ‘Position’ means any actual or proposed job offered by the Recruiter for which the Recruiter has engaged The Company to find candidates.

    1.8. ‘Referrer’ means any individual or agency that has contracted with The Company to provide referrals for Candidates to Positions for which Recruiters have engaged The Company to fill.

    1.9. ‘Invited Referrer’ means any new individuals or agencies that have been contracted with The Company by way of an introduction from a Referrer.

    1.10. ‘Candidate’ means any individual who has applied for a Position offered by the Recruiter through The Company and/or The Website.

    1.11. ‘Referral Reward’ means the financial reward offered by the Company to the Referrers to provide referrals for Positions for which Recruiters have engaged The Company to fill.

    1.12. ‘Search Fee’ means the fees paid by the Recruiter to the Company for successfully introducing a Candidate who is hired by the Recruiter for the Position. The Search Fee does not include GST. GST is charged at the prevailing rate.

    1.13. ‘Setup Fee’ means the fee paid by the Recruitment Agency to the Company for posting available Positions on The Website. The Setup Fee does not include GST. GST is charged at the prevailing rate

    1.14. ‘Total Guaranteed Compensation’ means the first 12 months of base salary and other guaranteed compensation including sign-on bonus and other guaranteed bonuses.

2. Terms of Business


    2.1 These terms are between The Company and you and any associated company of yours (hereinafter called the ‘Recruiter’, ‘Recruitment Agency’ or ‘you’) who engage the services provided by The Company.

3. Use of The Website


    3.1 You are permitted to download materials from The Website for your personal use only. You may not otherwise publish, copy, distribute, modify, transmit or otherwise reproduce in any form the contents of the Website without our written permission, nor use the information and materials for any commercial purposes. No part of the content of The Website may be incorporated into or stored in any other web site or work in any form.

    3.2 You agree that we may in certain circumstances allow for third parties to place links on The Website. We do not endorse or approve of the content of any third-party website provided through the link. You agree that we are not responsible for the content of any third party site nor will we have any liability in connection with any third party site.

    3.3 In order to register to use the Website, you agree that you will ensure that your password is confidential between you and us. You will notify us immediately if the security of your password is compromised. We do not assume responsibility for lost or stolen account passwords and for any associated damages.

    3.4 The Company does not guarantee that downloaded resumes from The Website are free from viruses or other malicious software that may have inadvertently been added to the resume file by the Candidate and/or any other parties. The Recruiter shall ensure that virus protection software is always in place on the personal computers to which the resumes will be downloaded.

4. Candidate search process


    4.1 To post a Position you must first register on The Website by completing the Recruiter registration form. Your personal and company information will be stored on our Website and subject to our Privacy Policy, which can be found at www.vawch.com/pages/Privacy.

    4.2 You are responsible for keeping your personal information on The Website correct and up to date. If your personal details change, you agree to update your personal information as soon as reasonably possible.

    4.3 You agree that in order for The Company and the Referrer to provide a Candidate for a particular Position, information regarding the Position shall be provided to the Referrer and the Candidate for their evaluation and consideration. The Company shall have the right to post the information regarding the Position on the Website or provide this information via other means for this purpose.

    4.4 Referrals made by The Company are confidential and if the Recruiter or any representative or employee of the Recruiter’s company refers the applicant to any other person, firm or company within six (6) months of the initial referral, then the Search Fee will become payable by the Recruiter as though the Recruiter themselves had engaged the Candidate.

    4.5 The Company will endeavor to ensure that only appropriate referrals are made for Candidates to apply for a Position. However, The Company does not guarantee any Candidates’ suitability for the Position. The Employer’s agreement to hire a Candidate is your agreement to the Candidate’s suitability for the Position.

    4.6 You agree to accept that the Company shall not be in any way whatsoever liable for the loss or damage to property or for any other loss including loss of profits or for any injury to persons arising directly or indirectly from any act or omission of any Candidate introduced by The Company even if such act or omission is negligent or fraudulent or dishonest.

5. Search fees


    5.1 You agree to pay an administrative Setup Fee for job postings made on the Website. The Setup Fee is defined in the signed proposal letter attached to this Terms of Business and is payable before a job posting is made.

    5.2 The Search Fee shall be payable to the Company in full upon the successful Candidate signing an employment contract with The Employer or when you are paid by The Employer for the placement, whichever is later. Payment terms are strictly fourteen (14) days from date of invoice. After fourteen (14) days, late fees will be charged at an annual rate of twelve percent (12%) of the outstanding balance.

    5.3 You agree that the Search Fee is calculated as a percentage of the successful Candidate’s Total Guaranteed Compensation. The percentage is defined in the signed proposal letter attached to this Terms of Business.

    5.4 You shall notify the Candidate if you believe that it may be detrimental to the interests of either party to enter into any employment agreement.

    5.5 You agree not to use information on The Company’s website to contact, whether directly or indirectly, any Recruiter regarding jobs posted on the Website, other than through The Company’s platform.

6. Liabilities


    6.1 Although we will endeavor to keep your information secure, you understand that we cannot guarantee the security of our systems and you acknowledge that we are not to be held liable for any loss, whether direct or indirect, arising from the interception of data, relating to you, by a third party.

    6.2 You agree that we are not liable to you for losses, direct or indirect, for any acts or omissions by the Candidate, the Referrer or ourselves.

    6.3 You agree that we are not liable to you for losses, direct or indirect, for any acts of hacking, denial of service attacks, service provider disruptions, or other Internet disruptions of service that impact the Website.

    6.4 You agree that our liability to you, except in the case of a successful Candidate terminating employment, shall be limited to the sum of Singapore Dollars 1,000.

7. General


    7.1 We shall at our discretion terminate this agreement with you, or prevent or limit your use of the Website.

    7.2 You agree to allow the Company to display your company logo and your company name on The Website as it pertains to a particular recruitment campaign unless you notify us beforehand in writing before the start of the search.

    7.3 You confirm that you are aware of, and will comply with, all of your legal obligations and you confirm that you are over the age of 21 years and have legal standing to enter into a contractual relationship with us.

    7.4 The laws of Singapore govern this contract and the Courts of the Republic Singapore shall have non-exclusive jurisdiction.
