Referrer Terms Of Business

These are the Terms of Business (the ‘Terms of Business’) which govern your use of our website www.vawch.com (the ‘Website’) and/or the job advertisement, candidate and referrer recruitment, and candidate referral services (the ‘Services’) found therein, all of which are offered by Vawch Group Pte. Ltd, a company registered in Singapore (Company Registration: 200811287H). You are the recipient of these terms and ‘you’, ‘your’ and ‘yours’ refer to the user of the Website and/or our Services.

We offer a service for Recruiters to advertise on the Website Positions they may have available and for which they have engaged the Company to find candidates. Referrers can refer Candidates to any of the Positions advertised on the Website and earn a reward if their referred Candidate successfully gains employment with the Recruiter’s company.

Please read the following Terms of Business carefully before using our Website and/or engaging our Services. By using the Website and engaging our Services, you agree to be bound to the following Terms of Business. If you do not agree to be bound by the following Terms of Business then you are not permitted to use The Website or engage our Services.

We reserve the right to change the Terms of Business at any time. Any such change will be effective once it is updated in the Terms of Business published on our Website. You should check the Terms of Business periodically to ensure that you are aware of and are complying with the current version as they are binding to you.

1. Definitions

1.1. The ‘Company’ means Vawch Group Pte. Ltd.

1.2. The ‘Website’ means www.vawch.com.

1.3. The ‘Services’ means job advertisements, referrer and candidate recruitment, and candidate referral services offered by The Company through The Website.

1.4. ‘Recruiter’ means any firm, corporation or agency that engages The Company to perform recruitment services, which includes Recruitment Agencies or Employers.

1.5. ‘Position’ means any actual or proposed job offered by the Recruiter for which the Recruiter has engaged The Company to find candidates.

1.6. ‘Referrer’ means any individual or agency that has contracted with The Company to provide referrals for Candidates to Positions for which Recruiters have engaged The Company to fill.

1.7. ‘Candidate’ means any individual who has applied for a Position offered by the Recruiter through The Company and/or The Website.

1.8. ‘Invited Referrer’ means any new individuals or agencies that have been registered with The Company through the Website by way of a unique email invitation generated by the Website from a Referrer

1.9. ‘Referral Reward’ means the financial reward offered by the Company to the Referrers to provide referrals for Positions for which Recruiters have engaged The Company to fill.

1.10. ‘Bonus Referral Reward’ means the financial reward offered to a subset of our Referrers who have achieved a high-level of performance as defined on The Company’s Referral FAQ available on the Website. The Bonus Referral Reward is offered on top of the Referral Reward for a successful placement of a candidate.

1.11. ‘Referrer Introduction Reward’ means the reward offered to Referrers for introducing an Invited Referrer to The Company. The reward is payable only after the Recruiter has successfully hired a Candidate referred by the Invited Referrer through The Company.

1.12. ‘Candidate Introduction Reward’ means the reward offered to Referrers for introducing an Invited Referrer who has successfully been hired by the Recruiter through The Company.

1.13. ‘Rewards’ means any financial reward offered to the Referrer by The Company, which can either be the Referral Reward, Bonus Referral Reward, Referrer Introduction Reward or Candidate Introduction Reward or any combination thereof.

1.14. ‘Annual Guaranteed Remuneration’ means the first 12 months of base salary but exclude all joining inducements, sign-on bonuses, commission or guaranteed amounts, stock or stock options granted and other variable components.

2. Terms of Business

2.1 These terms are between the Company and you and any associated company of yours (hereinafter called the ‘Referrer’ or “you”) who provide services accepted by The Company.

3. Use of The Website

3.1 You are permitted to download materials from The Website for your personal use only. You may not otherwise publish, copy, distribute, modify, transmit or otherwise reproduce in any form the contents of the Website without our written permission, nor use the information and materials for any commercial purposes. No part of the content of The Website may be incorporated into or stored in any other web site or work in any form.

3.2 You agree that we may in certain circumstances allow for third parties to place links on The Website. We do not endorse or approve of the content of any third-party website provided through the link. You agree that we are not responsible for the content of any third party site nor will we have any liability in connection with any third party site.

3.3 In order to register to use the Website, you agree that you will ensure that your password is confidential between you and us. You will notify us immediately if the security of your password is compromised. We do not assume responsibility for lost or stolen account passwords and for any associated damages.

4. Referral process

4.1 To refer a Candidate to a Position you must first register on The Website by completing the Referrer registration form. Your personal information will be stored on our Website and subject to our Privacy Policy, which can be found at www.vawch.com/pages/Privacy_Policy.

4.2 You are responsible for keeping your personal information on The Website correct and up to date. If your personal details change, you agree to update your personal information as soon as reasonably possible.

4.3 For each Candidate that you refer to us, you will be asked to provide the Candidate’s name and email address. We shall then use the email to contact the Candidate and inform the Candidate that you have referred him or her for the Position.

4.4 If more than one person refers the Candidate to a particular Position, the Candidate will receive an email with a unique link for each referral and the Candidate can choose which Referrer should receive the reward by clicking on the specific link to apply for the Position.

4.5 For the avoidance of doubt, you agree that no Referral Reward, Bonus Referral Reward, or Referrer Introduction Reward will be due to you if the Candidate does not click on the link in the email generated by your referral.

4.6 You affirm that you have no connection with or influence over the Recruiter and/or recruitment or hiring process for the Position for which you have made referrals. You agree that any liability that results from your actions in this respect shall be borne by you.

4.7 You agree to allow us to share your personal information with the Recruiter.

4.8 A successful referral is made only after the Recruiter’s company hires the Candidate you had referred to the Position, and the Candidate remains employed at the Recruiter’s company for at least three (3) months.

5. Rewards

5.1 Referrers with any connection with or influence over the Recruiter and/or recruitment or hiring process for the Position for which you have made referrals are not eligible to receive Rewards.

5.2 If applicable, we will pay you a Referral Reward, Bonus Referral Reward and any Referrer Introduction Reward or Candidate Introduction Reward, only after your successful referred Candidate has completed at least three (3) months of employment at the Recruiter’s company and contingent on The Company receiving search fees from the Recruiter’s company.

5.3 You agree that the Referral Reward published on our website for each Position is only an estimate of the final Referral Reward. The final Referral Reward is calculated as a percentage of your successful Candidate’s Annual Guaranteed Remuneration (rounded down to the nearest Singapore Dollars 500). The current Referral Reward percentage is half of the Standard Search Fee as defined in the Recruiter FAQ. The Standard Search Fee is typically set at 6-8% of the successful Candidate’s Annual Guaranteed Remuneration. For the avoidance of doubt, the precise reward will only be finalized after confirmation with the Recruiter’s company and Candidate, and the candidate has signed an employment contract with the Recruiter’s company.

5.4 The Bonus Referral Reward is discretionary and determined as defined in our Referrer FAQ. We reserve the right to amend the reward amount and its eligibility requirements or remove this reward at any point in time.

5.5 The Referrer Introduction Reward and the Candidate Introduction Reward are discretionary and determined as defined in our Referrer FAQ. We reserve the right to amend the reward amount and its eligibility requirements or remove this reward at any point in time.

5.6 A Referrer is eligible for the Candidate Introduction Reward only if his or her Invited Referrer signs an employment contract with the Employer within six (6) months of the Invited Referrer signing up with the Website.

5.7 The Company shall not be responsible for a Recruiter not informing us of the hiring of a referred Candidate. You shall make any reasonable effort to keep track of referrals made by you and inform the Company if you believe that your referred Candidate was employed by the Recruiter’s company. We will then verify the information provided to us by you so that we may process your claim for a Reward.

5.8 You must claim your Referral Reward, Bonus Referral Reward and/or Referrer Introduction Reward within twelve (12) months of the successful referred Candidate starting employment at the Recruiter’s company. In the event that you fail to do so, then you agree to waive any right that you may have to claim the Rewards.

5.9 You are responsible for declaring, filing and paying any taxes that becomes due by you as a result of the payment of the Referral Reward, Bonus Referral Reward or Referrer Introduction Reward and indemnify us against any liability for tax due by you which results from such payments.

5.10 You agree that the payment of the Referral Reward, Bonus Referral Reward, and Referrer Introduction Award shall be made by cheque to you and by no other payment means. Any costs or expense associated with the payment method shall be borne by you.

6. Recruiter and Candidates

6.1 You agree that you shall not contact the Recruiter with regards to any referrals, Rewards or payments due to you and failure to abide by this clause shall nullify any right you have to claim any Rewards.

6.2 You shall not provide information to Recruiters, Candidates, prospective Vawch users and The Company that you believe is likely to be inaccurate or misleading.

6.3 You shall notify the Recruiter and/or the Candidate if you believe that it may be detrimental to the interests of either party to enter into any employment agreement.

6.4 You agree not to use information on The Company’s website to contact, whether directly or indirectly, any Recruiter regarding jobs posted on the website, other than through The Company’s platform. We reserve the right to prosecute to the fullest extent of the law anyone found breaching this clause.

7. Liabilities

7.1 Although we will endeavor to keep your information secure, you understand that we cannot guarantee the security of our systems and you acknowledge that we are not to be held liable for any loss, whether direct or indirect, arising from the interception of data, relating to you, by a third party.

7.2 You agree that we are not liable to you for losses, direct or indirect, for any acts or omissions by the Candidate, the Recruiter or ourselves.

7.3 You agree that we are not liable to you for losses, direct or indirect, for any acts of hacking, denial of service attacks, service provider disruptions, or other Internet disruptions of service that impact the Website.

7.4 You agree that our liability to you, other than any liability to pay you the Rewards associated with successful referrals to Recruiters, shall be limited to the sum of Singapore Dollars 1,000.

8. General

8.1 We shall at our discretion terminate this agreement with you, or prevent or limit your use of the Website.

8.2 You confirm that you are aware of, and will comply with, all of your legal obligations and you confirm that you are over the age of 21 years and have legal standing to enter into a contractual relationship with us.

8.3 The laws of Singapore govern this contract and the Courts of the Republic Singapore shall have non-exclusive jurisdiction.
